Welcome to Sharpy AI (“we,” “our,” “us”). These Terms of Service (“Terms”) govern your access to and use of our AI-powered receptionists, chatbots, agents, and related services (the “Services”). By using our Services, you agree to these Terms. If you do not agree, you may not use the Services.

1. Eligibility

The Services are intended only for businesses.

By using our Services, you represent that you are authorized to act on behalf of a business entity.

You must comply with all applicable laws and regulations.

2. Description of Services

Sharpy AI provides AI-powered receptionists, chatbots, and agents as SaaS solutions, including subscription-based and one-time fee models. We may provide free demos or trial access at our discretion.

3. Payment Terms

Subscriptions & Fees: Services are billed on a monthly subscription basis, with additional one-time fees where applicable.

Trials/Demos: Free trials or demos may be offered, subject to our terms.

Refunds: All payments are final. No refunds will be issued.

Billing: Charges are recurring until canceled.

4. User Responsibilities

You agree to:

- Use the Services lawfully and only for legitimate business purposes.

- Not use the Services to generate or disseminate illegal, harmful, or abusive content.

- Not attempt to reverse engineer, copy, or misuse our AI technology.

- Respect third-party intellectual property rights.

5. Company Rights

We reserve the right to:

- Suspend or terminate your access for violations, non-payment, or at our discretion.

- Modify or discontinue any part of the Services at any time, with or without notice.

6. Intellectual Property

Sharpy AI IP: All rights in our software, AI models, platform, and branding remain the exclusive property of Sharpy AI.

Client Content: Any data, content, or materials you provide remain your property.

AI Outputs: Outputs generated by our AI (text, responses, or content) are owned by Sharpy AI, though we grant you a limited, non-exclusive license to use them for your internal business purposes.

7. Limitation of Liability

The Services are provided “as is” and “as available.”

We do not guarantee that AI outputs are accurate, reliable, or error-free.

To the maximum extent permitted by law, Sharpy AI is not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business opportunities, arising from the use of our Services.

Our total liability will not exceed the amount you paid to Sharpy AI in the 12 months prior to the claim.

8. Governing Law & Dispute Resolution

These Terms are governed by Dutch law.

Disputes will be resolved exclusively in the courts of Amsterdam, Netherlands.

Before litigation, both parties agree to attempt resolution through mediation or arbitration.

These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles.

Before starting any legal proceedings, both parties agree to attempt to resolve disputes in good faith through mediation. If mediation does not resolve the dispute within 30 days, the matter shall be finally settled by binding arbitration under the rules of the Netherlands Arbitration Institute (NAI), in Amsterdam, Netherlands, in English.

Either party may seek interim or injunctive relief in the courts of Amsterdam to protect intellectual property or confidential information. For all other matters not resolved through mediation or arbitration, the courts of Amsterdam have exclusive jurisdiction.

To the fullest extent permitted by law, both parties waive the right to participate in class actions or class arbitrations.

9. Termination

By You: You may cancel your subscription or stop using the Services at any time.

By Us: We may suspend or terminate your access at any time, with or without cause.

Termination does not relieve you of any payment obligations accrued prior to cancellation.

10. Disclaimer on AI Use

Our AI Services are not intended for use in providing medical, legal, financial, or other regulated advice. You are solely responsible for how you use AI outputs in your business.

11. Changes to the Terms

We may update these Terms from time to time. Updates will be posted on our website with a revised “Last updated” date. Continued use of the Services after changes means you accept the updated Terms.
